Service overview

Start your business with confidence. Grow with the right support.

At Executive Insights, our Company Formation & Assistance Services help entrepreneurs, startups, SMEs, and investors establish their businesses smoothly and efficiently. We provide end-to-end support for Company Registration, RJSC, Trade License, TIN, BIN, Tax, Work permit for foreigners, BIDA permission & VAT registration, Legal Documentation, and Compliance Assistance.

From business setup to ongoing advisory and administrative support, we ensure a simple, compliant, and hassle-free process so you can focus on growth.

Four pillars
that define our work.

01

Private Limited Company

The default choice for founders and SMEs — RJSC name clearance, MoA/AoA drafting, Forms IX/XII, subscriber pages, and digital incorporation certificate. We coordinate the temporary bank account, share capital deposit, and post-incorporation compliance so the company is ready to trade from day one.

02

Foreign Investment & BIDA

For overseas investors and joint-ventures: encashment certificate handling, RJSC + BIDA registration, work-permit drafting, share allotment, and repatriation guidance. Covers industrial projects, EPZ ventures and service-sector FDI under the BIDA framework.

03

Branch & Liaison Offices

Bangladesh Bank-routed approval for foreign companies opening a representative presence — board resolutions, parent-company attestations, security deposit handling, and quarterly compliance returns post-launch.

04

Post-Incorporation Compliance

The work that starts the day the certificate arrives: NBR eTIN, BIN/VAT registration, trade licence, fire/factory licensing, environmental clearance, and IRC/ERC where the business model needs them.

Successfully entering and operating in Bangladesh requires a meticulous approach to its legal and regulatory environment from the very outset. Proper company formation is not an administrative hurdle but the bedrock of operational success, long-term compliance, and future scalability. For both local entrepreneurs and foreign investors, a strategically sound legal foundation is paramount.

Our Company Formation service provides comprehensive, end-to-end guidance through the entire registration process administered by the Registrar of Joint Stock Companies and Firms (RJSC). We manage every critical step, from securing the initial Name Clearance to ensuring all post-registration compliance, for corporate structures such as the Private Limited Company.

Formation Workflow

  • Legal Identity — Name Clearance Certificate
  • Governance — Drafting of MoA and AoA
  • Financial Setup — Non-operating Bank Account & Encashment Certificate
  • State Registration — Submission of Forms IX, X, XII to RJSC
  • Operational Licensing — Trade License, TIN, and VAT Registration

The Executive Insights Advantage

Our unique value lies in managing ongoing regulatory compliance, not just the initial setup. We guide clients through mandatory annual filings with the RJSC and tax returns with the NBR. Clients choose us for our holistic legal support, which includes critical guidance on Bangladesh Investment Development Authority (BIDA) requirements — essential for future profit repatriation and securing work permits for expatriate staff.

02

Assured Regulatory Compliance

Strict adherence to the Companies Act 1994, all RJSC filing requirements, and National Board of Revenue (NBR) tax regulations.

03

Seamless Foreign Investment

Critical assistance to foreign investors, including managing the provisional bank account setup and securing the mandatory "Encashment Certificate" required to prove inward equity remittance.

04

Strategic Legal Foundation

Drafting a professional Memorandum of Association (MoA) and Articles of Association (AoA), the constitutional documents that define your business's operational boundaries and internal governance.

How we
deliver this work.

01

Name Clearance

Secure the Name Clearance Certificate from RJSC.

02

Governance Documents

Draft MoA and AoA defining the company's operational and governance framework.

03

Financial Setup

Open the non-operating bank account and obtain the Encashment Certificate (foreign investors).

04

State Registration

Submit Forms IX, X, XII and supporting documentation to RJSC.

05

Operational Licensing

Secure Trade License, TIN, and VAT registration; ongoing annual filings handled.

A company isn't formed when the certificate arrives — it's formed when the first invoice, the first payslip and the first VAT return all clear without amendment. That is what we build for.

FAQ

How long does company registration take in Bangladesh?

A standard private limited company is registered with RJSC in 3–7 working days after we file. End-to-end — including name clearance beforehand and BIN/VAT, eTIN and trade licence afterwards — most clients are fully operational within 15–25 calendar days. Foreign-investment structures requiring BIDA approval add roughly 10–15 days.

What's the minimum paid-up capital?

RJSC does not enforce a statutory minimum for local private limited companies, but most clients set BDT 1,00,000–10,00,000 to match their business activity and bank account requirements. Foreign-investment entities under BIDA require USD 50,000 minimum capital as a working benchmark.

Do I need to be physically in Bangladesh to register a company?

No — directors can be abroad. Documents are signed and attested at the nearest Bangladesh High Commission or via apostille (per country). We coordinate the courier loop and the temporary bank-account formalities.

Can you also handle the post-incorporation work?

Yes — eTIN, BIN/VAT, trade licence, fire licence and bank-account conversion are included in our standard formation package. Annual compliance (AGM, annual return, withholding returns) is offered as an optional retainer.

What does it cost?

Local private limited starts at a fixed package fee, with RJSC/government charges itemised separately. We quote firm figures after a 30-minute scoping call — no engagement until you've seen the line items.
